TrueScale End User Licence Agreement.
This agreement is between you and ZKOW Pty Ltd (ABN 97 676 633 793), trading as TrueScale ("we", "us"). It covers the TrueScale desktop software, its updates and its documentation ("the Software"). By installing or using the Software you agree to it. If you are accepting for a company, you confirm you can bind that company.
Buying TrueScale
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle handles all customer service enquiries about orders, and handles returns. Paddle's buyer terms apply to the purchase, payment, tax and refunds. Prices on this website show their currency; prices in Australian dollars include GST.
Refunds: within 30 days of purchase, no questions asked. See the Refund Policy.
1. Your licence
1.1 We grant you a perpetual, non-exclusive licence to install and use the Software, subject to this agreement. You own your licence; we keep ownership of the Software itself.
1.2 One licence is for one person. That person may activate the Software on up to two computers they use. A licence may not be shared between people, even if the two computers are never used at the same time.
1.3 Updates. Every future update and new version of the Software is included in your licence at no extra cost. There are no paid upgrades for the desktop Software.
1.4 Mac and mobile. If we release Mac, tablet or phone versions, your licence covers them on the same terms, with the device limits we publish for them.
2. Activation and your licence email
2.1 Each licence has a serial number, a licence key and a licence owner email address. Activation needs the email and the key, and creates an activation code that only works on that installation of that computer.
2.2 Keep your licence key private. You are responsible for use of your key until you tell us it has been lost or stolen, when we will help you move it.
2.3 You can deactivate a computer at any time to free its activation, and activate another one.
2.4 The Software never stops you opening, viewing, printing or exporting files you already have, even if a licence ends, a trial ends or activation fails.
3. Trial
3.1 You may try the Software free for 14 days, once per computer. No account or payment card is needed.
3.2 When the trial ends, the Software becomes read-only: you can still open, view, print and export, but not save changes or create markups, until you activate a licence.
4. Kinds of licence
| Kind | Price | Term | Transferable |
|---|---|---|---|
| Paid | As purchased | Perpetual | Yes (clause 5) |
| Complimentary | Free | Perpetual | No |
| Extended trial | Free | Until the date we set | No |
| Not for resale | Free | As stated when issued | No |
| Education | Free | 12 months, renewable while studying or teaching | No |
4.1 Education licences are for students and teaching staff of a recognised school, TAFE, college or university, for learning and teaching only. "Non-commercial use" means you must not use the Software, or anything you make with it, for paid work, quotes, tenders or any work done for a business or client. Files saved with an Education licence are marked as such. If you start using the Software commercially, you need a Paid licence.
4.2 Not for resale licences are for reviewers, trainers and partners, for the purpose we issued them, and may be marked.
4.3 Free licences may be ended by us at the end of their term, or earlier if used outside their purpose.
5. Transfers and resale
5.1 You may sell or give away a Paid licence. The transfer moves the licence to the new owner's email address: the current owner starts it, the new owner accepts it, and we then issue the new owner a new licence key.
5.2 On transfer, every activation of the old owner is released, and the old owner must stop using the Software under that licence. Files they made remain theirs.
5.3 A licence may be transferred at most once in any 30 days. A licence that has been refunded or charged back cannot be transferred.
6. Teams and companies
6.1 A seat pack is owned by the company that bought it. The company's administrator assigns each seat to a person's email and may reassign a seat when that person leaves. Each seat follows clause 1.2 (one person, up to two computers).
6.2 You may add seats to an existing licence or pack at the price we publish at the time.
6.3 A licence with more than one seat (a seat pack, or a licence that has grown by added seats) was priced with a volume discount. Its seats cannot be split off, sold or transferred one by one; the whole licence, with all its seats, can be transferred under clause 5.
7. TrueScale Server and cloud services
7.1 TrueScale Server is free to install and run on your own computers and network. It needs no licence of its own; people connecting with the desktop Software need their own licences.
7.2 Any hosted cloud services we offer in future are optional, sold separately, and governed by their own terms. The desktop Software never requires them.
8. What you must not do
Except as this agreement allows, or as the law allows despite this agreement, you must not:
- copy, rent, lease, lend or sublicense the Software, or sell it other than by a transfer under clause 5;
- remove, bypass, disable or tamper with licensing, activation or trial protection, or share licence keys or activation codes;
- reverse engineer, decompile or disassemble the Software, except to the extent the Copyright Act 1968 (Cth) or other applicable law permits it (for example for interoperability or error correction);
- use the Software in breach of any law, or to infringe anyone's rights.
9. Your files and your data
9.1 Your drawings, markups and files are yours. We do not receive them, and the Software does not send document content or file names to us.
9.2 To activate and check licences, the Software sends the licence key, licence email, a one-way device fingerprint, the computer's name, the Software version and the operating system. See our Privacy Policy.
10. Measurements and professional judgement
10.1 Measurements and quantities depend on the drawings, scales and inputs you use. You remain responsible for checking quantities, prices and quotes before you rely on them or send them to anyone.
11. Third-party components and other products
11.1 The Software includes open source components, each under its own licence, listed in the third-party notices that come with it. Nothing in this agreement limits your rights under those licences.
11.2 The Software can open and save files used by other PDF products. Bluebeam and Revu are trademarks of Bluebeam, Inc. TrueScale is not affiliated with or endorsed by Bluebeam, Inc. We cannot guarantee how other products will treat files.
12. Australian Consumer Law and your rights
12.1 Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in this agreement excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law or any other law that cannot be excluded.
12.2 Our refund policy (30 days, no questions asked) is in addition to those rights.
13. Limits on our liability
13.1 To the extent the law allows, and subject to clause 12:
- the Software is provided as is, beyond the guarantees the law gives you;
- where the law lets us limit our liability for a failure to meet a consumer guarantee, our liability is limited, at our choice, to supplying the Software again or paying the cost of having it supplied again, or refunding what you paid;
- we are not liable for indirect or consequential loss, including lost profits, lost revenue, lost data, or losses from quotes, tenders or estimates, however caused;
- our total liability to you is limited to the amount you paid for the licence.
14. Ending this agreement
14.1 We may end your licence by notice if you seriously breach this agreement and do not fix the breach within 14 days of our notice. If your licence ends, you must stop using the Software, but you may keep and open your own files.
14.2 Clauses 9 to 15 survive the end of this agreement.
15. General
15.1 Payments. Purchases are made through Paddle.com Market Limited, our reseller and merchant of record. Paddle's buyer terms apply to the purchase, payment, tax and refunds.
15.2 Changes. We may update this agreement for future versions of the Software. Changes never reduce the licence you already bought (perpetual use and included updates). We will show the new version in the Software, and you can keep using the version you have if you do not accept it.
15.3 Law. This agreement is governed by the law of Victoria, Australia, and the courts of Victoria have jurisdiction, without limiting any rights you have to use the courts or consumer laws of your own country.
15.4 Contact. support@gettruescale.com, ZKOW Pty Ltd (ABN 97 676 633 793), trading as TrueScale, Melbourne, Australia.
